1. Agreement to Terms

By accessing or using ClipStake ("the Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Platform. These terms constitute a legally binding agreement between you and ClipStake.

2. Platform Description

ClipStake is a platform that enables users to support content creators through digital utility tokens that provide rights to receive revenue share payments from content. The Platform facilitates connections between creators and supporters while maintaining transparency and security through our private ledger technology. All platform activities are subject to applicable laws and regulations.

3. Eligibility and Account Requirements

• 3.1. You must be at least 18 years old and legally able to enter into contracts.

• 3.2. You must complete all required verification procedures through our identity provider.

• 3.3. You are responsible for maintaining the security and confidentiality of your account credentials.

• 3.4. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Platform Participation Terms

• 4.1. All platform participation involves risks, including potential loss of contributed funds.

• 4.2. Digital utility tokens grant holders specific revenue share rights as defined in the individual content terms.

• 4.3. Revenue share rights activation is subject to content-specific milestones and conditions.

• 4.4. The Platform is not responsible for the performance of individual content or creators.

5. Creator Obligations

• 5.1. Creators must provide accurate information about their content and projected revenue potential.

• 5.2. Creators are responsible for fulfilling their obligations to token holders as specified in their content terms.

• 5.3. Creators must comply with all applicable laws and platform guidelines regarding content creation and revenue reporting.

6. Digital Utility Token Usage

• 6.1. Digital utility tokens may only be used within the Platform's designated marketplace.

• 6.2. External transfer or trading of tokens outside the Platform is not permitted.

• 6.3. All platform activities must comply with applicable laws and platform guidelines.

7. Intellectual Property Rights

• 7.1. All Platform content, features, and functionality are owned by ClipStake and are protected by international copyright, trademark, and other intellectual property laws.

• 7.2. Users retain their rights to their own content while granting ClipStake necessary licenses to operate the Platform.

8. Limitation of Liability

• 8.1. ClipStake shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

• 8.2. The Platform's liability is limited to the extent permitted by applicable law.

• 8.3. Users acknowledge that platform transactions are final and the Platform cannot reverse or modify completed transactions.

9. Dispute Resolution

• 9.1. Any disputes shall be resolved through arbitration in accordance with the laws of Malta.

• 9.2. Users agree to attempt to resolve any disputes informally before initiating formal proceedings.

10. Changes to Terms

We reserve the right to modify these terms at any time. Users will be notified of any material changes through the Platform or via email. Continued use of the Platform after such modifications constitutes acceptance of the updated terms.
